How to register a Company in Namibia

Choose a business name: You will need to choose a unique business name that another company does not already register. You can check the availability of a name by conducting a name search through the Business and Intellectual Property Authority (BIPA) website.

Determine your business structure: Decide whether your business will be a sole proprietorship, partnership, or limited liability company. Each structure has different legal and tax implications. You can register a Defensive Name (used to trade as Sole Proprietorship)

  • Close Corporation (a CC)
  • Private Company (Pty Ltd)
  • Public Company (Ltd)
  • A public company a Non-profit Association (also known as Section 21 Company).

How to register a Company in Namibia, you require the following Forms. 

  • N$75 Submission of a name application/ reservation form CM5 
  • CM1 Application for a Certificate of Incorporation Certificate 
  • N$100 Certification Commence Business CM46 – 
  • Memorandum and Articles of Association in triplicate forms of which 2 x copies are certified by Notary Public
  • CM2 (N$150 + value of share capital)
  • CM44
  • CM44C
  •  (Copy of approved name) CM5
  • N$20 for Notice of postal and registered address on CM22 
  • N$20 for the List of directors, Auditors, and public Officers on CM29 
  • N$20 for the Appointment of an Auditor on CM31 
  • N$50 Statement by each Director regarding the Adequacy of Capital of the company on CM47 
  • N$100 for Application for Certificate to Commence Business on CM46 
  • CM51 – N$10 Request for Submission of Additional Copies 

Register your business: Complete the registration form and submit it to BIPA along with the required documents, which may include a certificate of incorporation, memorandum and articles of association, and tax registration certificate.

Obtain necessary licenses and permits: Depending on the nature of your business, you may need to obtain additional licenses and permits from other government agencies, like the Ministry of Trade and Industry, Ministry of Environment and Tourism, or Ministry of Agriculture, Water, and Land Reform.

Register for taxes: Register your business with the Inland Revenue Department to obtain a tax identification number (TIN) and comply with tax laws.

Open a business bank account: To separate your personal and business finances, open a separate bank account for your business.

Register for social security: If you plan to hire employees, you must register for social security contributions with the Social Security Commission.

Following these steps, you can successfully register your business in Namibia and start operating legally.

BIPA is mandated to have a record of all registered businesses, and such a register is open to the public for inspection.

In reference to the laws regulating the registration of businesses, To gain the information one must submit a request to BIPA by completing a ‘’file request form’’ at a BIPA Office or send an email to filerequest@bipa.na, and pay the associated fees. Thereafter, the records will be made available, for inspection at the office or by email. Due to the fact that BIPA does not maintain its own archive and document warehousing, the records are hosted off-premises and it takes about 3 to 5 days for a file to be delivered to BIPA.
